You didn't say exactly which files you downloaded.  `as' (the
assembler) is part of the binutils, e.g. bnu281b.zip.  Make sure you
have downloaded and unzipped this archive; `as.exe' should have been
unzipped to the `bin' subdirectory of your main djgpp directory
