Well, you could take a look at allegro. It's a game programming library
with lots of useful stuff. And it has got good fading routines. It's
completely free, and comes with source code too, so you could look at it
and learn (i think).
Look at http://www.talula.demon.co.uk/allegro/ for more information, and
you can also download it from there.
