Okay, I have solved that problem.  For those of you experiencing the same
thing, I just removed the djdev201(c:\djgpp\djdev201) directory, which put
my include file in the right place (c:\djgpp\bin\include).

Now that I have got that under control, I have another problem.
It tries to run c:/djgpp/bin\ln.exe and says:

 "Crt0.o :no such file or directory"

I can not find the file Crt0.o but I do have a Crt1.o.  I tried renaming
it Crt0.o but
it said "file not valid. Truncated" (or something to that effect).

Still looking for a little help.  Thanx!!
