It's not just you, I just tried it as well and the same thing happens
here. I think it's to do with the "magic" /dev directory. I did you're
tests with a /dev directory and it did the same as you, I renamed the
directory to /eev and it worked correctly.
Try this one as well (using touch):
D:\>mkdir foo
D:\>mkdir dev
D:\>touch foo\x
D:\>dir foo
Volume in drive D is DATA Serial number is E5C6:A815
Directory of D:\foo\*
20/12/96 5:08p <DIR> .
20/12/96 5:08p <DIR> ..
20/12/96 5:08p 0 x
0 bytes in 1 file and 2 dirs 0 bytes allocated

A bug with the "magic" /dev directory support perhaps?
