there is are programs in the CICA collection that may help:

 in ~ftp/pub/pc/win3/util:
	smtdoc12.zip	940224	SmartDoc 1.2 - Converts Windows Help to PlainText

 in ~ftp/pub/pc/win3/winword:
	hlpdc122.zip	940520	Windows Help File to Winword Document File Conversion

I havn't tried them, but they looks like just what you want. They can be obtainable 
from ftp.cica.indiana.edu, or from any of the CICA mirror sites (including Imperial 
College London - src.doc.ic.ac.uk ).
