Try using a:
device=c:\emm386.exe RAM frame=none
like statement in your config.sys.  This will allow you to use UMBs,
and include support for VCPI, but won't take up a 64K chunk of memory
in the upper memory area for a page frame.  If this doesn't help, maybe 
some other people can come up with suggestions?
