First, latest versions of the GNU assembler support the Intel asm format, so you might just use the original code. If that is not good enough, see sections 17.2 and 17.3 of the DJGPP FAQ list (v2/faq230b.zip from the same place you get DJGPP), they give pointers to some conversion alternatives.
