This is a problem with AMD K6, K6-2 processors. Microsoft used a timing loop in one of the device drivers (IOSUBSYS, if memory serves), that breaks on 350MHz+ K6s. Nasty. My advice: install the patch from Microsoft _before_ you upgrade (if possible), otherwise you may have to reinstall Windows.
