I bet the go32.com you're using is pre-1.08 and has the same bug that all the other pre-1.08's have that do not allow it to run a post-1.08 stub'd binary. Use exe2aout to un-stub it, then use "copy /b stub.exe+ls ls.exe" to unalign the file, and then pre-1.08 go32's should work.
